    • Unless expressly authorised, you may not copy, reproduce, adapt, republish, modify, or distribute any part of our website or content, including software and underlying code.
    • It is the Advertiser's responsibility to ensure that they have the appropriate hardware, software, and systems required to access and make use of the Site effectively.
  2. If you appoint a third party to access the platform or submit content on your behalf, you will be held responsible for their conduct and any breach of these Terms by them will be considered a breach by you.
  3. We may issue you one or more secure login accounts to access our services. You are responsible for monitoring and controlling access to those accounts. You are liable for any use of our services made through your account unless misuse is the direct result of our negligence.
  4. You are not permitted to assign or transfer any rights or obligations under these Terms without our prior written consent, which will not be unreasonably withheld. If you are a company, any change in control will be treated as an assignment requiring our prior written consent.

Subscription and Payments

All fees are quoted in Australian Dollars (AUD).

By purchasing services, subscribing to an AllBusiness plan (Starter, Growth, or Premium), purchasing Sponsored Ad add-ons, or changing your subscription plan, you acknowledge and accept these payment terms in full.

  1. Subscription Plans: AllBusiness offers three subscription plans: Starter, Growth, and Premium. Each plan grants access to unlimited listings and plan-specific features for the duration of the subscription period. Subscriptions are automatically renewed each month unless you provide written notice of cancellation at least 14 days before the renewal date.
  2. Monthly Billing: Invoices for monthly subscriptions are due 14 days from the invoice date. Failure to make payment on time may result in suspension or deactivation of your account and the removal of any active listings.
  3. Plan Changes:
    • Plan upgrades take effect immediately upon confirmation. You will be charged the prorated difference between your current plan and upgraded plan for the remainder of your current billing period, with future billing at the new plan rate.
    • Plan downgrades take effect at the start of your next billing cycle. You will continue to be charged at your current plan rate until the end of the current billing period. No refunds or credits will be issued for the unused portion of your current billing period.
    • Plan upgrades cannot be cancelled once confirmed. Plan downgrades can be cancelled at any time before your next billing cycle begins.
  4. Sponsored Ad Add-Ons: Invoices for Sponsored Ad purchases must be paid within 14 calendar days from the invoice date. If payment is not received within this period, services may be suspended, and any Sponsored Ads may be removed until the outstanding payment is received. Sponsored Ad packs are non-refundable, non-transferable, and do not expire.
  5. Pricing Changes: AllBusiness reserves the right to change pricing at any time. The amount payable for services or upgrades is the rate communicated at the time of purchase. All prices are in AUD and exclusive of GST, unless otherwise stated. GST and any applicable taxes will be added at the time of invoicing.
  6. Non-Refundable Services: You are responsible for paying for any services or credits ordered, whether you use them in full or in part. Subscription fees, Sponsored Ad packs, and all other services are non-refundable once purchased.
  7. Overdue Payments: If payment remains overdue for more than 30 days after the due date, AllBusiness may:
    • Suspend or deactivate your account and associated services,
    • Remove active listings and downgrade plan features,
    • Take legal action or refer the debt to third-party collection agencies.
  8. Credit Information: You agree that, in compliance with applicable Privacy Laws, Credit Laws, and other relevant regulations, AllBusiness may obtain credit information about you (including personal credit information) from credit reporting agencies or other credit providers for the purpose of collecting overdue payments related to commercial credit owed by you. This may include information about your directors, if applicable.
  9. Information Disclosure: You also agree that AllBusiness may disclose your information to a credit reporting agency or other relevant parties as reasonably necessary, within the limits permitted by applicable Privacy Laws, Credit Laws, and other relevant laws. If required, you will provide written consent for such disclosure.
  10. Taxes: All amounts invoiced by AllBusiness are subject to indirect taxes, such as GST, as applicable by law. These invoiced amounts may differ from the agreed amounts in certain circumstances (e.g., tax rate changes or new taxes introduced).
  11. Withholding Tax Documentation: Where necessary, you must supply appropriate documentation to support any withholding tax amounts. If you fail to do so, AllBusiness reserves the right to withhold further products or services.
  12. Service Modifications: We reserve the right to modify our fees, subscription plans (Starter, Growth, Premium), Sponsored Ad pricing, as well as add, remove, or alter features and services, at any time, with reasonable notice provided to users.

Fair Use & Conduct Expectations

  1. We may decline your account registration if we reasonably believe you may not comply with these Terms, pose a potential security risk (to our systems or to business seekers), or act in a manner that could negatively impact our brand or reputation.
  2. Once registered, should we reasonably determine that you:
    • present a possible threat to system security or to the safety of business seekers; or
    • are likely to harm our reputation or commercial standing,
  3. we reserve the right to take one or more of the following actions, with or without prior notice (where appropriate):
    • remove your listings from our platform;
    • decline to provide products or services; and/or
    • suspend or terminate your account without delay.
  4. We will act fairly and reasonably in exercising these rights and may choose to notify you beforehand if it is appropriate to do so. In such cases, you will not be entitled to any refund or compensation.
  5. If we reasonably suspect misuse of our platform, we will contact you and raise the concern. Should the misuse continue, we may take any measures we deem reasonably necessary to protect the integrity of our platform and its users, including but not limited to:
    • removing your listings;
    • withdrawing any discounts previously offered to you;
    • denying further access to our products and services; and/or
    • suspending or terminating your account.
  6. No refund or compensation will be provided if action is taken in these circumstances.
  7. In cases where we believe you are deliberately and knowingly misusing our platform, we may take immediate corrective action without prior notice. You will not be entitled to any form of compensation or refund as a result.
  8. We are committed to maintaining a respectful, safe, and inclusive working environment. If you engage in behaviour that we reasonably determine to be abusive, harassing, discriminatory, bullying, or otherwise inappropriate towards our team (Inappropriate Conduct), we reserve the right to:
    • deny your registration;
    • cease providing our products and services to you; and/or
    • suspend or immediately terminate your account (including the removal of any live advertisements).
  9. Again, no refund or compensation will be offered if your conduct falls into this category.
  10. If you wish to dispute any actions or decisions made under this section, you are welcome to contact us. We will review your concerns promptly and in good faith.

Advertisements and Listings

  1. When listing a business on the AllBusiness platform, you are responsible for ensuring that your advertisement complies with all relevant Australian laws. This includes but is not limited to laws covering business opportunity advertising, consumer rights, anti-discrimination, and data protection.
  2. Only genuine business opportunities may be advertised. At the time of posting, you must actively be seeking a purchaser. AllBusiness may, at any time, request information to verify the legitimacy of a listing. If you fail to provide supporting documentation within a reasonable timeframe, your listing may be suspended or removed, and your account may be deactivated. In serious cases, legal action may be taken.
  3. If your listing includes claims related to earnings, profit, or financial performance, you must supply credible evidence to support these statements if requested. If such information is not provided within three (3) days, AllBusiness may remove or suspend the listing without notice.
  4. External website links or third-party application forms are not to be included in advertisements unless express written permission is granted by AllBusiness. This approval may be withheld or withdrawn at any time.
  5. Businesses located outside of Australia may not be listed on the platform unless written consent has been given. Any unauthorised listings of this nature may be subject to additional charges.
  6. It is your responsibility to place advertisements in the appropriate category on the Site. Misplaced listings may be reclassified, removed, or updated by AllBusiness to maintain the accuracy and integrity of the platform.
  7. Listing Duration: All active listings under subscription plans (Starter, Growth, Premium) remain live for the duration of your active subscription. If your subscription is cancelled or expires, your listings will be removed from the platform.
  8. Unlimited Listings: All subscription plans (Starter, Growth, and Premium) include unlimited business listings, subject to the following terms:
    • You may list as many genuine business opportunities as you are actively marketing at any given time.
    • Each listing must represent a separate, legitimate business currently available for sale.
    • Listings remain active for the duration of your subscription period.
    • You may add, edit, or remove listings at any time through your account dashboard.
    • Listings are non-transferable between broker accounts.
  9. Listing Verification: AllBusiness retains the right to verify that each listing represents a legitimate, currently available business for sale. Misuse of the unlimited listings feature—such as advertising fake businesses, duplicating listings, or posting non-genuine opportunities—may result in suspension or removal of advertisements and potential account termination.
  10. Content Sharing and Marketing: Your advertising content will be listed on our Site and may also be shared on our Social Media pages at our discretion. If you do not wish to be listed on platforms such as Facebook, Instagram, TikTok, YouTube you must explicitly notify us. By using our Services, you grant us permission to share your listing content across our marketing channels unless you have opted out. We retain editorial discretion over how your content is presented across these platforms, ensuring the essential information of your listing is maintained.
  1. If you choose to promote your listing using a Sponsored Ad on AllBusiness, additional visibility features will be applied to enhance exposure across the platform. Sponsored Ads provide the following benefits:
    • Premium placement at the absolute top of relevant search and category pages, above all subscription plan listings (Starter, Growth, and Premium)
    • "Sponsored" badge and highlighted display to increase visibility
    • Immediate visibility boost for time-sensitive or high-priority listings
    • Enhanced positioning designed to drive higher engagement and click-through rates
  2. All Sponsored Ads are subject to the following terms:
    • Sponsored Ad features apply only for the duration selected at the time of purchase (7, 14, or 21 days).
    • Once the Sponsored Ad period expires, your listing will return to its standard placement based on your subscription plan tier (Starter, Growth, or Premium).
    • Sponsored Ad packs are purchased separately from your monthly subscription and can be applied to any active listing.
    • Sponsored Ad packs are non-refundable, non-transferable, and do not expire. Credits remain in your account until used.
    • You may run multiple Sponsored Ads simultaneously across different listings.
    • Any fees paid for Sponsored Ads are non-refundable, including in the event of early removal, suspension due to breach of terms, or sale of the business during the Sponsored Ad period.
    • All content in Sponsored Ads must comply with AllBusiness's general listing requirements and applicable laws.
    • We reserve the right to modify the benefits associated with Sponsored Ads from time to time, provided such modifications do not materially diminish the visibility benefits already purchased for an active Sponsored Ad.
  3. Sponsored Ad Distribution: Sponsored Ads are distributed based on availability and relevance:
    • Multiple Sponsored Ads may appear on the same search or category page, displayed in order of activation time (most recently activated appears first).
    • AllBusiness does not guarantee exclusive top placement if multiple brokers are running Sponsored Ads in the same category simultaneously.
  4. Free Sponsored Ads (Plan Inclusions):
    • Starter plan subscribers receive 1 free Sponsored Ad credit (7-day duration) per month.
    • Growth plan subscribers receive 3 free Sponsored Ad credits per month.
    • Premium plan subscribers receive 5 free Sponsored Ad credits (7-day duration each) per month.
    • Free Sponsored Ad credits are provided monthly and do not roll over to subsequent months if unused.
    • Free credits can be applied to any of your active listings through your account dashboard.
  5. By purchasing or activating a Sponsored Ad, you agree to be bound by these terms and acknowledge that AllBusiness does not guarantee sale outcomes, enquiry volume, or specific performance metrics as a result of the Sponsored Ad placement.

Business Seller Leads

  1. Complimentary Bonus Feature: Business Seller Lead Notifications are provided as a complimentary bonus feature with all subscription plans. This service is designed to connect brokers with business owners who are actively seeking broker representation.
  2. How Seller Leads Work:
    • When business owners submit enquiries through our platform seeking broker representation, we distribute these leads to brokers who have selected that industry category in their plan settings.
    • Each seller lead notification includes the business owner's contact details and preliminary business information.
    • Brokers receive instant email alerts when a seller lead in their selected categories becomes available.
  3. Category Allocation by Plan:
    • Starter Plan: 1 main industry category (includes all subcategories within that industry)
    • Growth Plan: 5 main industry categories (includes all subcategories within those industries)
    • Premium Plan: 10 main industry categories (includes all subcategories within those industries)
    • Example: Selecting "Food/Hospitality" includes leads from all related subcategories such as Cafes, Restaurants, Bakeries, Catering, Takeaway, and other food-related businesses.
  4. Lead Distribution:
    • Seller leads are distributed to a minimum of 1 broker and a maximum of 3 brokers, depending on how many brokers have selected that industry category.
    • Leads are not exclusive. Multiple brokers may receive the same seller lead notification.
    • First-to-respond typically has the best opportunity to secure the listing engagement.
  5. No Guarantees:
    • Business Seller Lead Notifications are provided as a complimentary service with no guarantees on frequency, volume, quality, or outcomes.
    • Lead availability depends entirely on the number of business owners submitting enquiries through our platform in your selected categories.
    • AllBusiness is a marketplace platform, not a lead generation company. We actively market to business owners to generate enquiries, but lead volume is subject to market conditions and cannot be guaranteed.
  6. Category Selection and Changes:
    • You may select your preferred industry categories through your account dashboard upon subscription or plan upgrade.
    • You may change your category selections at any time through your account settings.
    • If you downgrade your plan to a tier with fewer category allocations, you must select which categories to retain. Any categories exceeding your new plan limit will be removed.
  7. Secondary Category Preferences:
    • In addition to your primary categories (based on your plan tier), you may select secondary preference categories.
    • You will receive notifications for leads in secondary categories, but access to full contact details will require upgrading your plan to include those categories as primary selections.
  8. Data Privacy and Use:
    • Business seller information provided through lead notifications is confidential and subject to applicable Privacy Laws.
    • You must not disclose, share, or distribute seller lead information to third parties without proper consent.
    • Seller leads are provided solely for the purpose of connecting you with potential clients seeking brokerage services.
    • Misuse of seller lead information may result in immediate account suspension or termination.
  9. No Obligation:
    • You are under no obligation to pursue or respond to any seller lead notification.
    • Not all leads will be relevant or suitable for your business focus, and quality may vary based on information provided by business owners.
  10. Service Modifications:
    • AllBusiness reserves the right to modify, suspend, or discontinue the Business Seller Lead Notifications feature at any time with reasonable notice.
    • We may change category allocations, distribution methods, or other aspects of the service as needed to improve performance or comply with regulations.
  11. Acknowledgment:
    • By using the Business Seller Lead Notifications feature, you acknowledge that this is a complimentary bonus service with no guarantees, and that AllBusiness is not liable for lead quality, volume, frequency, or any outcomes resulting from seller lead interactions.

Misuse of Data policy & Unauthorised Disclosure

  1. You must not, under any circumstances, disclose or share any Personal Information of business seekers obtained through your use of this Site with any third party—including affiliates or related entities—unless such disclosure is expressly permitted under Applicable Laws, or where explicit consent has been provided by us or the business seeker in question.
  2. This prohibition applies regardless of whether you stand to gain financially, commercially, or otherwise from such disclosure.
  3. We are committed to upholding privacy obligations in accordance with Australian Privacy Laws and other relevant legislation. Any misuse of Personal Information obtained via this platform will be taken extremely seriously.
  4. If we reasonably believe that you have misused such data for any reason, we reserve the right to take one or more of the following actions:
    • immediately suspend or terminate your account, and/or suspend or terminate the account of any party to whom you have passed on Personal Information in breach of these Terms;
    • report any suspected breach of Privacy Laws or other Applicable Laws to the appropriate regulatory or enforcement body; and/or
    • initiate legal proceedings to seek any remedy available under law, which may include claims for financial compensation.

Business Agencies and Brokers

  1. If you are a business broker using AllBusiness, you may only advertise on behalf of clients where you are actively engaged in providing professional business brokerage services.
  2. You must not resell or supply any listings (including but not limited to Sponsored Ads) to third parties unless:
    • You are a licensed business broker; and
    • You are directly managing the sale process and the listing forms part of your brokerage services.
  3. Where a listing is placed on behalf of a client, the advertisement must clearly feature your business broker branding, or be co-branded with both your agency and the client's business (if applicable), ensuring transparency for potential buyers.
  4. Failure to comply with these conditions may result in:
    • Your listings being removed;
    • Suspension or termination of your account, at our discretion.
  5. AllBusiness reserves the right to verify your business broker status and may request supporting documentation at any time.

Private Sellers & Advertisers

  1. If you are advertising as a private seller on AllBusiness, the following obligations apply to how you manage the personal information of potential buyers:
  2. You must notify any business seeker from whom you collect personal information that:
    • Their details will be handled in accordance with your own privacy policy; and
    • A copy of your privacy policy is available upon request or will be provided to them at the time of collection or shortly after.
  3. In the event that AllBusiness receives an enquiry or request from a business seeker regarding personal information you've obtained, we will forward that request to you. You agree to:
    • Respond promptly, professionally, and in full to any such enquiries; and
    • Confirm with us that the request has been actioned.
  4. By using the Private Advertiser function, you acknowledge and accept responsibility for complying with Australian Privacy Laws. You also agree to indemnify AllBusiness against any loss, penalty, or liability arising from:
    • Your failure to comply with these obligations;
    • Any breach of applicable privacy legislation; or
    • Any impact your actions may have on AllBusiness's compliance with privacy laws.
  5. AllBusiness reserves the right to suspend or remove your advertisement if we reasonably believe that you have not met your privacy obligations.

Licence to Use, Data Protection, Privacy

  1. All data stored within your account, referred to as Advertiser Data, remains the property of the business or organisation advertising through AllBusiness, in accordance with Applicable Laws, including privacy laws.
    • The Personal Information of business seekers is managed in line with applicable Privacy Laws, our Privacy Policy, or your Privacy Policy, as relevant.
    • Personal Information will be removed from your account when required, in compliance with the relevant Privacy Laws.
  2. By engaging with our services, you grant AllBusiness a perpetual, non-exclusive, and irrevocable licence to use the Advertiser Data for purposes including:
    • Managing internal reporting and compliance.
    • Compiling statistical insights about the usage of our platform.
    • Analysing user interactions and identifying key trends.
    • Preparing reports based on these insights.
    • Investigating potential breaches of these Terms or any security-related concerns.
    • Continuously enhancing the experience for both advertisers and users of our platform.
  3. Apart from Advertiser Data, we may use other data collected through your interaction with our website and services, known as Ancillary Data, for purposes such as:
    • Internal analysis, reporting, and service improvement.
    • Sharing with our related parties where appropriate.
    • If Ancillary Data is considered confidential, we will ensure its confidentiality is respected and maintained during use or sharing.
  4. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using our Services, you agree to the collection, use, and disclosure of personal information as described in our Privacy Policy.
  5. We may send you direct marketing communications about our products, services, and promotions, including emails, updates, offers, and market insights. You can opt-out of receiving marketing communications at any time by using the unsubscribe function or contacting us directly.

Termination

  1. Either party has the right to end this agreement (or relevant portion of it) if the other party commits a material breach and does not resolve the breach within 30 days after receiving written notice. If termination occurs:
    • It will be limited, as much as possible, to the specific services or products affected by the breach.
    • Provisions of the Terms that are intended to survive termination will still apply.
  2. If you decide to terminate this agreement, you will not be entitled to a refund. AllBusiness does not provide refunds under any circumstances.
  3. We maintain the right to terminate your agreement if you breach the Terms. Such termination will not affect provisions that continue to apply even after the agreement ends.
  4. If any part of these Terms is found to be void or unenforceable, it will be removed, but the remaining Terms will remain intact and enforceable.

General Provisions

  1. These Terms are governed by the laws of Victoria, Australia, and any disputes arising will be subject to the exclusive jurisdiction of the courts of Victoria.
  2. We may modify these Terms at any time, and continued use of the Site after any changes will constitute acceptance of the modified Terms.
  3. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision will not be considered a waiver.
  4. Advertisers agree to submit exclusively to the jurisdiction of the Courts in Victoria and waive any objections to legal proceedings in those courts, including on grounds of venue or inconvenience.

Intellectual Property Rights

  1. AllBusiness retains ownership of all intellectual property related to our website, platform, and any content or materials we create or provide in connection with our services. This includes, but is not limited to, website design, software, logos, and any other content or branding associated with the platform.
  2. However, we do not claim ownership over any intellectual property that you already own prior to using our services. This may include your company logo, branding, trademarks, and other proprietary materials. By using our services, you grant AllBusiness a perpetual, non-transferable, and royalty-free license to use your intellectual property solely in connection with the provision of the services we offer to you. This may include displaying your logo or other materials on our platform, in advertisements, or in any other ways related to promoting your listings or business.
  3. If you decide to withdraw or revoke this license, please be aware that this could limit or prevent us from providing certain services or products to you. For instance, if we are unable to use your logo or business materials, it may affect how your listings appear on the platform.

Disclaimers and Limitations of Liability

  1. Nothing in these Terms is intended to exclude or limit any rights or guarantees you may be entitled to under the Australian Consumer Law or other applicable laws which cannot be lawfully excluded or restricted.
  2. While we take reasonable steps to ensure that our platform and services operate reliably and securely, we do not guarantee that access will be uninterrupted, error-free, or free from harmful code such as viruses or malware. Interruptions, delays, or system failures may occasionally occur due to maintenance, technical issues, or other events beyond our control. 3. To the fullest extent permitted by law:
    • We make no warranties or representations regarding the availability, performance, or suitability of our platform, features, or services for your specific needs or outcomes.
    • We are not responsible for any loss or damage arising from your use of our site, including any reliance on materials, data, or representations provided by other users or advertisers.
    • We are not liable for any indirect, incidental, special, or consequential losses of any kind, including loss of profit, loss of business opportunity, business interruption, or data loss, even if we have been advised such losses were possible.
    • You are solely responsible for verifying the accuracy and legality of your advertisements and for maintaining appropriate backup and security procedures.
  4. We act as an online marketplace connecting users with business opportunities. We do not independently verify or endorse businesses, users, or claims made on the platform and are not liable for any outcomes arising from interactions between platform users.
